2. Description of Service

RoyaltyPilot provides automated royalty reporting services that transform raw sales data from e-commerce platforms into formatted reports suitable for submission to licensors. Our service includes:

• Data processing and transformation of sales reports
• Automated formatting for various licensor requirements
• Report generation and delivery
• Customer support and onboarding assistance

3. User Accounts and Registration

To access our Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Ensuring your account information remains current and accurate

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROYALTYPILOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold RoyaltyPilot harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights. This includes reasonable attorneys' fees and costs.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We will delete your data within 30 days unless legally required to retain it
• You remain liable for all charges incurred before termination
• Sections relating to liability, indemnification, and dispute resolution survive termination

13. California-Specific Provisions

As we operate in California, the following provisions apply:

• These Terms are governed by California law, excluding conflict of law principles
• You have the right to request information about data we collect and how it's used
• We comply with the California Consumer Privacy Act (CCPA) as detailed in our Privacy Policy
• Any disputes will be resolved in the state or federal courts located in California

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Dispute Resolution

Most disputes can be resolved through direct communication. For formal disputes, we encourage mediation before litigation. Any legal proceedings must be brought in the state or federal courts of California, and both parties consent to the jurisdiction of such courts.
